These Terms of Use (“Terms”) govern your access to and use of the website and services (the “Services”) provided by the Tri State Out of Network Physicians Alliance (“TOPA,” “we,” “us,” or “our”). By accessing or using the Services, creating an account, or registering for an event, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. TOPA membership and certain programming are intended for physicians and healthcare professionals, though some content and events may be open to others as indicated.
2. Accounts and Registration
- You agree to provide accurate, current, and complete information when creating an account and to keep it up to date.
- You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
- Notify us promptly at [email protected] if you suspect unauthorized use of your account.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used improperly.
3. Membership and Events
- Membership benefits, event availability, and pricing are described on the website and may change over time.
- When you register for an event, we issue a ticket associated with your account. Tickets are personal to you and may not be transferred or resold without our permission.
- You may be required to present your ticket (including a QR code) for check-in at events.
- Events may be rescheduled, relocated, or cancelled. Where an event is cancelled, we will make reasonable efforts to notify registrants.
- Some events are limited to members or have limited capacity, offered on a first-come basis.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload or transmit malicious code, spam, or misleading content.
- Misuse the contact form or communications features, including submitting false information.
5. Educational and Informational Content
Content provided through the Services — including materials on legal, billing, compliance, practice management, and related topics — is for general educational and informational purposes only. It is not legal, financial, tax, or medical advice, and it does not create any professional-client relationship. You should consult qualified professionals regarding your specific circumstances before acting on any information provided.
6. Intellectual Property
The Services, including text, graphics, logos, and the TOPA name and brand, are owned by TOPA or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission, except as permitted by these Terms or applicable law.
7. Your Submissions
When you submit information through the Services (such as a contact form message), you represent that you have the right to do so and that the information is accurate. You grant TOPA a limited license to use that information as needed to respond to you and operate the Services, consistent with our Privacy Policy.

To the fullest extent permitted by law, TOPA and its officers, directors, volunteers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to TOPA, if any, in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless TOPA and its representatives from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.
11. Third-Party Services
The Services rely on third-party providers for hosting, database, authentication, and email delivery. We are not responsible for the acts or omissions of third parties, and your use of any linked third-party services is subject to their terms.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services at our discretion, including for violations of these Terms. Provisions that by their nature should survive termination will continue to apply.

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
